will comply with the spirit and letter of the agreement. In our discussions, letters, e-mails,
fax, documentations and meetings, with customers and employees, TEG shall be releasing installation,
operation and marketing information, along with
intellectual property and therefore, require that you fill this form to
protect our proprietary information. |

THE ENG GRPOUP, LLC (hereinafter named the "Discloser") is company involved in the introductions, operation,
development, design, concepts and marketing of businesses opportunities in herein

The Discloser
is in the possession of confidential information
relating to installation, operations, concepts, designs,
marketing and business conduct, (“Confidential
Information / TRADE SECRETS”), and is willing to
disclose some of this information to Recipient under the
terms and conditions set forth herein in order to allow
Recipient to evaluate the Confidential Information. |
Copyrights:
TEG
is willing to consider licensing
TEG/Hedi Enghelberg
copyrighted materials for suitable
commercial use in exchange for appropriate
compensation. Compensation may include
reciprocal rights, especially if
TEG/Hedi Enghelberg
allows the creation of derivative works
based on TEG/Hedi
Enghelberg copyrighted materials. If
you believe your business could be enhanced
by use of TEG/Hedi
Enghelberg Copyrighted materials,
please
contact us.
Trademarks:
TEG/GHE has an active brand licensing
program. TEG/GHE
is willing to consider licensing a
TEG/GHE trademark
for use with suitable complementary products
in exchange for appropriate compensation.

NOW, THEREFORE,
|
In
consideration of the disclosure of the Confidential
Information, and other good and valuable consideration
resulting there from, the receipt of which are hereby
acknowledged by the Recipient, the parties DO HEREBY
AGREE as follows:
-
Recipient (customer) shall use the Confidential Information only for
the purpose of evaluating the business opportunities offered
by the Discloser.

Recipient (contractors & employees) shall use the Confidential Information only for
the purpose of installation, work, design and service offered
by the Discloser.

Recipient (contractors & employees) shall use the Confidential Information only for
the purpose of installation, work, design and services, on
the company premises or customer place of business and no
copies of the work materials, copyrighted, trademark or
patent pending content, by electronic means or printed, can
be made.

The Recipient
(customers, contractors & employees) expressly agrees not to discuss or use this Confidential
Information or disclose it to any other third party:
individual, corporation or organization for any other
purposes, including any disclosure that would result in a
personal and/or business gain for him/herself, or for any
individual, corporation or organization.

Recipient
(customers, contractors &
employees)
shall not disclose the Confidential Information to
any employees, officers, vendors or persons and employ the
information or part of it, for the company benefit or third party individual, corporation or organization.

The Recipient (customers, contractors &
employees)
shall not make, or permit any copies of the
Confidential Information to be made, in any form; nor
suggest to any third party: individual, corporation or
organization that a presentation of the Confidential
Information was made to him/her.

In order to protect our intellectual
property, concepts, projects, designs & ideas, the employees
are forbidden to solicit or contact the firm's (company)
clients (customers) or vendors without WRITTEN authorization.
-
Confidential Information: a non disclosure period of
no less than 12-24 months (cannot disclose or install) will
be established as a statue of limitation for customers,
contractors & employees, digital information about
customer and clients, after a demo or a contract was
terminated, for non disclosures of concepts, ideas,
suggestions, operational manuals, technologies and any other
means, that were supplied and provided to customers,
contractors & employees.

24-36 Months blackout period (after termination of contract
or agreement): non disclosure of information about marketing
methods, all
technologies, digital information and data about customer,
vendors, factories, parts, accessories, concepts and designs developed by TEG or
affiliated companies, during a
contract with a customer, contractor or employee belong to
the TEG.
-
If the customer wants to employ the information received or
part of it, by his own means, technology, employees or
vendors, a concept fee for the ideas, concepts, programs, technologies,
in formations
and designs will
be charged by TEG, upon approval between parties, on a
service contract base.

processes, designs and concepts are covered by Copyrights,
Trademark and are Patent Pending. |

WITNESS WHEREOF, the parties
have caused this Understanding of Confidentiality to be
executed on the day and year first written bellow.
The
undersigned acknowledges that the subject matter
disclosed is confidential and agrees to maintain
the confidentiality of said subject matter.
