Non-Compete Agreement

 Completing & signing this Non-Compete Agreement mean that you have read and you will comply with the spirit and letter of the agreement. In our discussions, letters, e-mails, fax, documentations and meetings, with customers and employees, TEG shall be releasing installation, operation and marketing information, along with intellectual property and therefore, require that you fill this form to protect our proprietary information.

For good consideration  in order to conduct business and as an inducement for_________________________________________ (Company) /or to  employ _________________________ (Employee), the undersigned company/employee hereby agrees not to directly or indirectly compete with the business of the Company (THE ENG GROUP LLC/ ENG AUTOMOTIVE GROUP) or its related companies, its concepts, ideas businesses methods or patents, during the period of doing business/employment and for a period of 24 month (2 years) following termination of contract/employment and notwithstanding the cause or reason for termination.   The term "not compete" as used herein shall mean that the Company/Employee shall not own, manage, operate, consult or be employed in a business substantially similar to, or competitive with, the present business of the Company or such other business activity in which the Company may substantially engage during the term of employment.   The Company/Employee acknowledges that the THE ENG GROUP/ENG AUTOMOTIVE GROUP or its related companies, shall or may in reliance of this agreement provide Company/Employee access to trade secrets, business methods, copyrights, trade marks, patent, concepts, ideas, customers and other confidential data and good will. Copyrights: TEG is willing to consider licensing TEG/Hedi Enghelberg copyrighted materials for suitable commercial use in exchange for appropriate compensation. Compensation may include reciprocal rights, especially if TEG/Hedi Enghelberg allows the creation of derivative works based on TEG/Hedi Enghelberg copyrighted materials.
